Mark limits his practice to sophisticated corporate and securities law matters for a select group of clients. He represents high net worth individuals and institutions in the purchase and sale of their investments (common and preferred stock, convertible loans, LLC and partnership interests and other instruments). He also acts as special counsel to companies planning mergers and acquisitions or offerings of securities, as well as special counsel to boards of directors or their committees. As a partner at Preston Gates & Ellis, he was counsel to companies for various financings, including private placements, venture capital, mezzanine capital, initial public offerings, secondary offerings, convertible debt structures, joint venture arrangements and mergers.
